1. Introduction
Welcome to Verza Technologies, Inc. ("Company", "Verza", "we", "our", "us"). These Terms of Service ("Terms") govern your use of our website located at https://tryverza.com and our associated creator operating system and marketplace (collectively, the "Service").
By accessing or using our Service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not access the Service.
2. The Verza Marketplace & Platform
Verza provides an operating system and marketplace for creators, agencies, and brands. Verza is an intermediary platform and is not a party to any agreements entered into directly between users (e.g., between a Brand and a Creator), except for the facilitation of payments and licensing via our platform tools.
- The Campaign Vault: Brands fund a "Vault" via escrow. These funds are held by our payment processor and only released to the Creator upon explicit approval by the Brand or meeting predefined campaign milestones.
- Verified Metrics: Creator performance data (reach, engagement) is pulled via Social Media APIs. While we strive for accuracy, Verza does not guarantee the performance of any individual creator or campaign.
- The Gauntlet: Our AI attention simulator provides scoring as a guide. These scores are estimates based on simulations and do not guarantee actual viral performance or retention.
3. Payments, Escrow & Fees
3.1 Escrow Funding: When a Brand posts a "Gig" and funds the Campaign Vault, the funds are debited and held securely. Payouts to Creators occur only after "Approval" in the Brand Dashboard.
3.2 Fees: Verza may charge service fees, marketplace fees, or subscription fees. All fees will be clearly disclosed at the time of purchase or gig posting.
3.3 Payouts: Creators are paid via Stripe or other supported processors. Creators are responsible for all taxes (including 1099 reporting) associated with their earnings.
4. Clickwrap Licensing & Usage Rights
When a Creator accepts a Gig on Verza, they agree to the licensing terms defined in the Brand's brief (e.g., 30-day usage, perpetual whitelisting, etc.).
- By accepting a Gig, the Creator grants the Brand a non-exclusive, worldwide license to use the content as specified in the Gig brief.
- Rights are secured and legally binding upon "Gig Acceptance" via our clickwrap system.
5. AI Tools & Content
Our Service includes AI-powered tools (Scene Spawner, AI Contract Negotiator, The Gauntlet).
- No Legal Advice: The AI Contract Negotiator provides suggestions, not legal advice. You should consult a qualified attorney for legal matters.
- Generated Content: You retain ownership of content generated using our AI tools, subject to these Terms and the terms of our underlying AI model providers.
6. Accounts & Eligibility
You must be at least 18 years old to use the Service. You are responsible for maintaining the security of your account credentials and for all activities that occur under your account.
7. Prohibited Uses
You agree not to use the Service for any illegal purposes or to:
- In any way that violates any applicable national or international law or regulation.
- For the purpose of exploiting, harming, or attempting to exploit or harm minors.
- To transmit, or procure the sending of, any advertising or promotional material (spam).
- To impersonate or attempt to impersonate Company, a Company employee, another user, or any other person or entity.
- In any way that infringes upon the rights of others, or in any way is illegal, threatening, fraudulent, or harmful.
8. Intellectual Property
The Service and its original content (excluding user-provided content), features, and functionality are the exclusive property of Verza Technologies, Inc. and its licensors.
9. Disclaimer of Warranty & Limitation of Liability
THE SERVICE IS PROVIDED ON AN "AS IS" BASIS. WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED. IN NO EVENT SHALL VERZA BE LIABLE FOR ANY INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES ARISING FROM YOUR USE OF THE SERVICE.
10. Governing Law
These Terms shall be governed by the laws of the State of California, without regard to its conflict of law provisions.
